Terms of Service

Welcome to Boomdevs LLC. These Terms of Service (“Terms”) govern your access to and use of Boomdevs LLC’s services, websites, applications, and any related offerings (collectively, the “Services”). By using our Services, you agree to be legally bound by these Terms.

If you do not accept or agree with these Terms, you may not use our services.

1. Definitions

  • “Company,” “we,” “us,” or “our” refers to Boomdevs LLC.
  • “Client,” “you,” or “your” refers to any individual, business, or entity that uses our Services or enters into a service agreement with us.
  • “Agreement” includes these Terms of Service, any signed project proposal, service agreement, privacy policy, and refund policy.
  • “Services” refers to any digital services, products, or consultations provided by Boomdevs.
  • “Deliverables” refers to the final output, such as software, websites, design files, codebases, and documents provided upon project completion.

2. Eligibility

By accessing or using our Services, you confirm that you:

  • Are at least 18 years of age or the age of legal majority in your jurisdiction;
  • Have the full legal authority to bind yourself or the entity you represent to this Agreement;
  • Are not prohibited by any applicable law from using our Services.

3. Scope of Services

Boomdevs offers a wide range of digital product and software services, including but not limited to:

  • Custom Software Development: Full-cycle backend/frontend development, scalable architecture, and tailored enterprise systems.
  • Web & Mobile App Development: Native and cross-platform apps built using modern frameworks for Android, iOS, and web.
  • Webflow and WordPress Development: Custom CMS solutions, landing pages, and SEO-optimized websites.
  • MVP Development & Product Strategy: Agile-based development, rapid prototyping, and product validation for startups and new ventures.
  • UI/UX Design & Branding: User-centered design systems, wireframes, visual identity, and interactive prototypes.
  • Technical Consultation: Guidance on product architecture, scaling strategy, and tech stack decisions.
  • Ongoing Support & Maintenance: Post-launch improvements, bug fixes, technical support, and feature iteration.

Each service engagement is subject to a mutually agreed scope of work defined in a custom proposal or written agreement.

4. Use of Services

You agree not to use our Services for any unlawful or harmful activity, including but not limited to:

  • Violating any applicable law or regulation
  • Transmitting malicious software or harmful content
  • Engaging in unauthorized access or system tampering
  • Sending unsolicited advertisements or spam

Each service engagement is subject to a mutually agreed scope of work defined in a custom proposal or written agreement.

5. Engagement & Client Responsibilities

To ensure a successful collaboration, you agree to:

  • Provide timely, complete, and accurate information
  • Supply all content, assets, credentials, and feedback as needed
  • Approve deliverables promptly
  • Communicate in a reasonable and professional manner
  • Ensure that any materials you provide are free of third-party claims

Delays caused by missing content or unresponsiveness may affect delivery timelines and result in additional charges.

6. Project Scope, Changes & Communication

  • Have the full legal authority to bind yourself or the entity you represent to this Agreement;
  • Scope changes must be documented, re-estimated, and approved in writing.
  • We follow agile or milestone-based workflows, and may use tools like ClickUp, Go High Level, or Discord for collaboration.

7. Payment Terms

  • All pricing and payment milestones will be detailed in your custom proposal or contract.
  • Most fixed-price projects require a minimum 35% deposit before work begins.
  • Payments are accepted via bank transfer, Stripe, or another approved method.
  • Invoices are typically due within 7–14 days unless otherwise agreed.
  • Delayed payments may result in interest, late fees, and project suspension.

Boomdevs reserves the right to withhold final deliverables or disable access to unpaid work.

8. Ownership & Intellectual Property

  • Upon full payment, you will own all custom deliverables as specified in the contract.
  • Pre-existing libraries, tools, or open-source code used remain the property of their original creators.
  • Boomdevs may showcase completed work in its portfolio, unless a separate NDA restricts this.

9. Confidentiality

We agree to keep any non-public business, technical, or strategic information strictly confidential. We will not disclose your information to any third party unless required by law or authorized by you in writing.

10. Warranties & Disclaimers

Boomdevs does not guarantee that:

  • Services will be error-free or uninterrupted
  • Outcomes will meet specific business KPIs (unless contractually agreed)
  • Deliverables will function indefinitely without updates or third-party changes

All services are provided “as is” and without warranties of any kind unless otherwise specified in writing.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Boomdevs shall not be liable for any indirect, incidental, punitive, or consequential damages.
  • Our total liability for any claim shall not exceed the total fees paid to us under the relevant agreement.

12. Termination & Cancellation

Either party may terminate a project with 15 days’ written notice.

  • The client must pay for all work completed up to the termination date
  • Any deposit or partial payment is non-refundable unless otherwise agreed
  • Boomdevs reserves the right to terminate service due to unresponsiveness (10+ business days), non-payment, or breach of terms

13. Portfolio Rights

Unless otherwise restricted by a signed agreement, Boomdevs may display completed non-confidential work in its portfolio, on social platforms, or in marketing materials.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, and any disputes shall be resolved in the appropriate courts of that jurisdiction.
